1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and JACOBSAMO ("Company," "we," "our," or "us"), operating the Vehra mobile application, website, and related services (collectively, the "Service").
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent and warrant that you are at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater.
2. Description of Service
Vehra provides a comprehensive car management platform that enables users to:
- Track and manage vehicle information, including make, model, year, VIN, and registration details
- Record and monitor maintenance schedules, service history, and mileage
- Store and organize vehicle-related documents securely
- Receive automated reminders for maintenance, insurance renewals, registration, and inspections
- Access tools and features for buying, selling, or transferring vehicles
- Connect with automotive service providers and dealerships
- Access premium features through paid subscriptions
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, including the availability of any feature, database, or content.
3. Third-Party Services
Our Service integrates with and relies upon several third-party services to provide functionality:
3.1 Convex (Backend Infrastructure)
We use Convex as our backend data platform for data storage, real-time synchronization, and serverless functions. Your use of the Service is also subject to Convex's terms of service and privacy policy. Data you submit through the Service is stored and processed on Convex's infrastructure.
3.2 WorkOS (Authentication)
We use WorkOS for user authentication, enterprise single sign-on (SSO), and directory synchronization. When you create an account or authenticate through enterprise SSO, WorkOS processes your authentication credentials. Your use of authentication features is subject to WorkOS's terms of service and privacy policy.
3.3 RevenueCat (Subscriptions and Payments)
We use RevenueCat to manage subscriptions, in-app purchases, and payment processing. When you subscribe to premium features or make purchases, RevenueCat processes your payment information and manages your subscription status. Your use of paid features is subject to RevenueCat's terms of service and privacy policy, as well as the terms of your app store (Apple App Store or Google Play Store).
You acknowledge and agree that your use of these third-party services is at your own risk, and we are not responsible for the practices or policies of any third-party service providers.
4. User Accounts
4.1 Account Registration
To access certain features of the Service, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information to keep it accurate, current, and complete
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized access to or use of your account
4.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for restricting access to your devices. You agree to:
- Use a strong, unique password for your Vehra account
- Enable additional security features (such as two-factor authentication) when available
- Not share your account credentials with any third party
- Log out of your account when using shared or public devices
- Notify us immediately if you suspect any unauthorized access or security breach
4.3 Account Suspension and Termination
We reserve the right to suspend, disable, or terminate your account at our sole discretion, with or without notice, for any reason, including but not limited to:
- Violation of these Terms or any applicable laws
- Conduct that is harmful to other users, us, or third parties
- Fraudulent, deceptive, or illegal activity
- Extended periods of inactivity
- Failure to pay applicable fees
Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time through the account settings or by contacting us.
5. User Content
5.1 Ownership of User Content
You retain all ownership rights in the content you submit, post, upload, or otherwise make available through the Service ("User Content"), including but not limited to vehicle information, documents, images, maintenance records, and any other materials.
5.2 License to User Content
By submitting User Content, you grant Vehra a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content solely for the purpose of:
- Providing, maintaining, and improving the Service
- Developing new features and services
- Creating aggregated, anonymized analytics
- Complying with legal requirements
This license continues even if you stop using the Service, but only with respect to aggregated, anonymized data that cannot identify you.
5.3 User Content Representations
You represent and warrant that:
- You own or have the necessary rights, licenses, and permissions to submit the User Content
- The User Content is accurate and not misleading
- The User Content does not infringe any third party's intellectual property, privacy, publicity, or other rights
- The User Content does not contain viruses, malware, or any harmful code
- The User Content complies with all applicable laws and regulations
5.4 Prohibited Content
You agree not to submit User Content that:
- Is false, fraudulent, misleading, or deceptive
- Is defamatory, obscene, pornographic, vulgar, or offensive
- Promotes discrimination, bigotry, racism, hatred, or harm against any individual or group
- Is violent, threatening, or promotes violence or illegal actions
- Infringes any patent, trademark, trade secret, copyright, or other intellectual property rights
- Violates the privacy or publicity rights of any third party
- Contains unsolicited or unauthorized advertising, promotional materials, or spam
- Contains software viruses or any other malicious code
6. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates any applicable federal, state, local, or international law or regulation
- Use the Service for any purpose that is fraudulent, deceptive, or harmful
- Attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks
- Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
- Use any automated means (bots, scrapers, etc.) to access the Service without our express written permission
- Impersonate or attempt to impersonate Vehra, a Vehra employee, another user, or any other person or entity
- Collect or harvest any personally identifiable information from other users
- Use the Service to transmit spam, chain letters, or other unsolicited communications
- Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
- Remove, alter, or obscure any proprietary notices from the Service
- Use the Service to develop a competing product or service
7. Subscriptions and Payments
7.1 Free and Premium Features
The Service offers both free features and premium features that require a paid subscription. The availability and scope of features may change over time.
7.2 Subscription Terms
Subscriptions are managed through RevenueCat and processed through your app store (Apple App Store or Google Play Store). By subscribing to premium features:
- You authorize recurring charges to your payment method
- Subscriptions automatically renew unless cancelled before the renewal date
- You can manage or cancel your subscription through your app store account settings
- Prices are subject to change with reasonable notice
7.3 Billing and Payment
All payments are processed through your respective app store. You agree to:
- Provide accurate and complete billing information
- Maintain valid payment methods on file
- Pay all charges at the prices in effect when incurred
- Be responsible for any applicable taxes
7.4 Refunds
Refund requests are handled according to the policies of your respective app store (Apple App Store or Google Play Store). Generally:
- Refunds for in-app purchases must be requested through the app store
- Subscription refunds are subject to app store policies
- We may grant refunds at our discretion for certain circumstances
7.5 Price Changes
We reserve the right to change subscription prices at any time. Price changes will take effect at the start of your next billing cycle following notice of the change. Your continued use of paid features after the price change constitutes your agreement to pay the new price.
8. Intellectual Property Rights
8.1 Our Intellectual Property
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement) are owned by Vehra, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
8.2 Trademarks
"Vehra," the Vehra logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Vehra or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans are the trademarks of their respective owners.
8.3 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use. This license does not include the right to:
- Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information obtained from the Service
- Use any data mining, robots, or similar data gathering or extraction methods
- Download any portion of the Service except as expressly permitted
9. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
VEHRA, ITS SUBSIDIARIES, AFFILIATES, AND LICENSORS DO NOT WARRANT THAT:
- THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION
- ANY ERRORS OR DEFECTS WILL BE CORRECTED
- THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
- THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS
No Professional Advice: The Service provides information for general informational purposes only and does not constitute professional automotive, mechanical, legal, financial, or insurance advice. You should consult qualified professionals for specific advice regarding your vehicles. Vehra is not responsible for any decisions you make based on information provided through the Service.
Third-Party Content: We do not warrant the accuracy, completeness, or usefulness of any third-party content or services integrated with or linked from the Service.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VEHRA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
- LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
- DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE
- DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
- DAMAGES RESULTING FROM ANY ERRORS, MISTAKES, OR INACCURACIES IN THE SERVICE
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
11. Indemnification
You agree to defend, indemnify, and hold harmless Vehra and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your use of the Service
- Your User Content
- Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
- Your violation of any applicable laws, rules, or regulations
- Any claim that your User Content caused damage to a third party
12. Governing Law and Jurisdiction
These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.
Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in the City and County of San Francisco. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
13. Dispute Resolution and Arbitration
13.1 Informal Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@jacobsamo.com. We will try to resolve the dispute informally within 60 days from the date we receive your written notice.
13.2 Binding Arbitration
If the dispute cannot be resolved informally, you and Vehra agree to resolve any claims relating to these Terms or the Service through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted in San Francisco, California, unless you and we agree otherwise.
13.3 Class Action Waiver
YOU AND VEHRA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
13.4 Exceptions
Notwithstanding the foregoing, either party may bring an individual action in small claims court or seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights.
14. Changes to Terms
We reserve the right to modify these Terms at any time in our sole discretion. If we make material changes, we will notify you by:
- Posting the updated Terms on the Service
- Updating the "Last updated" date at the top of these Terms
- Sending you an email notification (for significant changes)
- Displaying a notice within the Service
Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Vehra regarding the Service and supersede all prior agreements, understandings, and communications.
15.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent. If modification is not possible, such provision shall be severed, and the remaining provisions shall continue in full force and effect.
15.3 Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign or transfer these Terms without restriction.
15.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, government actions, or internet or telecommunications failures.
15.6 Survival
The provisions of these Terms that by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
